The Ho Chi Minh City Economic Forum (the “Forum” “we” “us” and “our”) is a comprehensive and integrated platform to strategically shape global, regional, national and industry agendas.

The Forum helps the foremost political, business and other leaders of society to improve the state of the world, serving as an independent and impartial partner and acting as the officially recognized international institution for public-private cooperation.

The Forum owns and operates the website https://hef.gov.vn/, as well as all related subdomains, pages and feeds (“HEF”) and makes it available to the users of HEF (individually “User” or “you” and collectively “Users”) under these Terms of Use. Access to HEF is granted to Users who have current and active engagements with the Forum.

Agreement to the Terms of Use

These ‘Terms of Use’ govern your access to and use of HEF, HEF services, and any content, including but not limited to any information, articles, data, blogs, reports, links, text, photographs, videos, graphics, layout, structure, logos, Visitor’s Feedback, other resources or materials (“Content”) and features such as newsletter services, events, communication platforms, issues, community pages, member areas and other applications that may be available on HEF at any given time.

These Terms of Use stipulate conditions, disclaimers and other provisions, some of which limit the Forum’s liability.

By accessing or using HEF you agree to be bound by these Terms of Use, as well as any terms and conditions. You also acknowledge that you have fully read, understand, and agree to these Terms and our Privacy Policy.

Any User that does not agree to or comply with these Terms of Use should not access or use HEF.

Appropriate Use

Any use of HEF by Users that would limit or constrict the availability or quality of HEF is prohibited. The Forum reserves the sole right to take any actions required to enforce this principle.

Users shall not:

(i) use HEF to post, submit or otherwise distribute unlawful, defamatory, abusive, obscene or offensive materials, including live video that violates these Terms of Use, policies or guidelines;

(ii) use HEF in any way that may violate third-party rights including, but not limited to, intellectual property or privacy rights;

(iii) access or attempt to access HEF using interfaces aside from the ones provided by HEF;

(iv) use any messaging features to send irrelevant, undesirable, unauthorized, commercial/promotional, unreasonably repetitive messages, or other Content which conflicts with the Forum’s mission;

(v) post or transmit of any Content, message or material to/through HEF that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, endanger national security, or that would otherwise create liability or violate any local, state, national or international law (including but not limited to anti-spam, export control, privacy, and anti-terrorism laws and regulations);

(vi) attempt to decipher, decompile, disassemble or reverse engineer any Content of HEF, HEF platform transmit any viruses, corrupted data or other harmful, disruptive or destructive files.

In case of violation of this section, the Forum reserves the sole right to take any reasonable action it sees fit, including but not limited to the cancellation or suspension of your access to HEF.

Termination and suspension of HEF account

If, for any reason, we believe that you have not complied with these Terms of Use, we may, at our sole discretion, cancel and/or suspend your access to HEF immediately and without prior notice.

In addition, we will revoke HEF access in the following cases:

Immediately after the contract expiration, for Users within an organization with a terminated Forum partnership/membership;

Immediately after the position is made inactive, for Users who left a member organization;

Immediately after the end date of an engagement to a community, initiative, project which is published on HEF, provided that Users do not have any other active engagements;

One (1) month after the end of a Forum event, for Users registered to a Forum Event that do not have other active Forum engagements on HEF.

The Forum reserves the right (but is not obligated) to, at its sole discretion, monitor and/or remove Content from HEF, discontinue at any time without notice to you.

Disclaimer

HEF is provided “AS IS” and “AS AVAILABLE” with no express or implied warranties of any kind including, but not limited to, any implied warranties of fitness for a particular purpose, merchantability, non-infringement, and title.

To the maximum extent permitted under applicable law, the Forum disclaims all liability for the acts, omissions and/or conduct of any third parties in connection with or related to the way Users operate HEF. Your access to and use of HEF is at your own risk. Users assume total responsibility for their use of HEF functionality, and any linked sites where applicable. If this disclaimer is not enforceable under applicable law, it may be modified at the Forum’s sole discretion to a form that is enforceable.

The Forum makes no representations, warranties or guarantees, whether expressed or implied, that the Content on HEF, is accurate, complete or up to date. The Forum does not take responsibility for any Content on or accessed through HEF and is not responsible for the completeness, correctness, up-to-datedness or quality of the information provided on HEF. The Forum expressly disclaims any/all liability relating to the monitoring, or removal of Content and any/all liability to any person or entity in respect of anything done, or omitted to be done wholly or partially, in reliance upon the Contents of HEF.

Users acknowledge that the Forum is not responsible nor liable for any harm resulting from: (i) downloading information contained on HEF or which is otherwise downloaded, but not limited to, downloads of content posted by subscribers; (ii) unauthorized disclosure of images, information or data that results from the upload, download or storage of content posted by Users; (iii) the temporary or permanent inability to access or retrieve information from HEF or (iv) including, without limitation, any harm, damage or corruption caused by viruses, worms, trojan horses, or any similar contamination or destructive mechanisms or programs on computers or other terminal equipment in connection with visiting, using and/or downloading data of any kind from HEF functionality. Users are personally responsible for protecting their equipment appropriately from viruses and other risks on the Internet.

The disclaimers set out within these Terms of Use, shall be interpreted in a manner that, applies to HEF, and to the extent possible, most closely approximates an absolute disclaimer and waiver of all liability.

Your information and Privacy

Users will provide personal information as part of the registration to access and use the features on HEF. Information provided for registration must be accurate and up-to-date. The Forum reserves the exclusive right to verify and deny access where data is incomplete, incorrect, inappropriate and/or missing.

Our Privacy Policy explains how we collect, use and share the information that you provide to us while using HEF, and you understand that through your use of HEF, you agree to the collection, use and sharing of this information in accordance with the Privacy Policy.

Intellectual Property Rights

The Forum reserves all proprietary rights to all Content on HEF including Content uploaded onto the Community Page(s), unless otherwise stated within these Terms of Use or otherwise agreed in writing with the Forum to the extent that we do not own Content, as you agree to grant us a license on the terms set out below.

For avoidance of doubt, any Content of the Forum remains owned by the Forum and your access to HEF does not give you any rights of ownership in relation to such Content.

We will retain all rights (including where applicable, ownership) to any comments, ideas, and feedback provided by Users to the Forum in relation to the use of HEF (“Visitor’s Feedback”), as well as to the Forum’s participant’s lists and any other information about the Forum’s events, projects, or initiatives.

Your Rights and the License You Give Us

We do not claim ownership of Content that is owned by you or anyone else – and any proprietary rights relating to Content shared on HEF, shall remain with the original source or the author(s) of that material (unless otherwise agreed or specified).

However, by uploading, posting, or sharing Content on HEF (including on the Community Page(s)):

You grant the Forum a worldwide, perpetual, royalty-free, non-exclusive, transferable, sub-licensable license, which permits us to host, use, display, reproduce, copy, translate, adapt, modify, print, publish, store, share and distribute such Content in any and all media (“License”);

You acknowledge and agree that you have the power and/ or authority (including all rights, licenses, consents, permissions) necessary to grant us the License for such Content, and agree that such Content will not contain material subject to copyright or other proprietary rights, unless you have necessary permission or are otherwise legally entitled to post the material and to grant us the License; and

You agree and understand that it is your responsibility to ensure that you have the necessary authority to grant the License described above and agree that any liability associated with you not having such rights, rests with you.

Name and Logo

The Forum’s name and logo are registered trademarks of the Forum. Users are not authorized to use the Forum’s or HEF’s name, logo or likeness without prior consent from us.

The content of any articles published on HEF expresses the opinion solely of the author of the respective content. The content of articles published on HEF by authors other than the Forum does not necessarily represent the Forum’s endorsement of the views or content as stated.

Content displayed in the Community Page

The Forum reserves exclusive proprietary rights to all Content on HEF (including Content displayed in the Community Page), unless otherwise agreed between the Community members and the Forum.

Links to other Websites

Links on HEF may connect Users to external or third-party websites that are not related to the Forum or under its control. The Forum is not responsible for the content of external or third-party websites that may be accessible or displayed through external links on HEF. The presence of these external links does not represent the Forum’s endorsement of the views or content of these third-party websites. Navigating to external websites through links on HEF is done at the sole risk of the User, and the Forum expressly disclaims any liability for any content that appears on any external site.

Amendments

The Forum may amend these Terms of Use at any time. Such amendments will be effective immediately upon notice being provided to the User. Notice may be provided on HEF itself, and after posting of the notice, the User’s continued use of HEF will be deemed as acceptance of the modified Terms of Use.

Updating our Terms of Use

We may update these Terms of Use from time to time. We will aim to notify you when changes are made, however, when using HEF, please check these Terms of Use to ensure you understand the terms that apply at that time. Continued access and use of HEF by you will be deemed as your acceptance and agreement to be bound by any such updated Terms of Use.

Waiver and Severability of Terms of Use

Failure of the Forum to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intention as reflected in the provision and the other provisions of these Terms of Use shall remain in full force and effect.

Applicable Law

These Terms of Use shall be governed by and interpreted in accordance with the substantive laws of Vietnam, under exclusion of any conflicts of law principles. The exclusive place of jurisdiction shall be Ho Chi Minh City, Vietnam.
